Terms of Service

These Terms of Service ("Terms") govern your use of the LateKit application ("the App") provided by NerdLabs ("we," "us," or "our"). By installing or using LateKit, you agree to these Terms.

1. Service Description

LateKit is a Shopify application, embedded in the Shopify admin, that watches a merchant's orders and shipments and alerts the merchant's staff about orders that are late: not shipped within the merchant's handling time or Shopify's fulfill-by date, labels the carrier has not picked up, parcels without a tracking update, parcels past their estimated delivery date, and carrier exceptions. Alerts are sent as a daily summary email and, on the Pro plan, as instant email and Slack messages.

2. Account and Eligibility

• You must have an active Shopify store to use LateKit.
• You must have the authority to grant LateKit access to your Shopify store.
• You are responsible for the settings and alert recipients you and your staff set up, and for having your recipients' consent to receive alert emails.
• You are responsible for the security of your Shopify account and for who on your staff can access the App.

3. Pricing and Billing

• LateKit offers a Free tier, free forever: 50 watched orders a month, every late-order check, the daily summary email and 1 alert recipient.
• The Micro tier is $3.99/month and allows 500 watched orders a month and 3 alert recipients.
• The Pro tier is $7.99/month and adds unlimited orders, instant email and Slack alerts, handling times per shipping method, and up to 20 alert recipients.
• Paid tiers are billed through Shopify's billing system. A 7-day free trial applies to your first paid subscription.
• You may change or cancel your plan at any time through Shopify.
• We reserve the right to change pricing with 30 days' notice.

4. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to reverse engineer, decompile, or extract source code from the App
• Use automated systems to scrape or extract data from the App beyond normal use
• Resell, sublicense, or redistribute access to the App
• Interfere with or disrupt the App's infrastructure

5. Data and Privacy

Your use of LateKit is also governed by our Privacy Policy. By using the App, you consent to the collection and use of data as described therein. LateKit reads order and shipping data but stores no customer (buyer) personal data.

You retain ownership of all your store data and settings. We claim no ownership rights over your data.

6. Third-Party Services

LateKit runs on Shopify's platform and APIs. Your use of the App is also subject to the Shopify Terms of Service. We are not responsible for the availability, accuracy, or policies of third-party services.

7. Accuracy of Information

LateKit works with the information in your store and from your carriers. While we strive for reliability:

• Alerts depend on the fulfillment and tracking information Shopify receives from carriers; a carrier that sends no tracking updates can't be checked for delays in transit.
• Shopify only lets LateKit read orders from the last 60 days, so older orders are not checked.
• Orders are checked when Shopify reports a change and re-checked every 15 minutes, and the daily summary is sent once a day; alerts are not instantaneous.
• LateKit does not guarantee that every late order will be detected, and it is not responsible for shipping delays or for any loss arising from them.

8. Limitation of Liability

To the maximum extent permitted by law:

• LateKit is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim.
• We are not liable for missed or late alerts, lost sales, or other business losses arising from the use of, or reliance on, the App.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We will make reasonable efforts to notify you of planned downtime.

10. Termination

• You may terminate your use at any time by uninstalling the App from your Shopify store.
• We may suspend or terminate your access if you violate these Terms.
• Upon termination, your access tokens are deleted immediately and the data held by the App is deleted when Shopify sends its shop-redaction request (about 48 hours later), per our Privacy Policy. Alerts stop immediately.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance. We will notify you of material changes via the App or email.

12. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through good-faith negotiation first, then binding arbitration if necessary.
